Terms and Conditions of Use and Sale

These terms and conditions of use and sale (hereinafter the "T&Cs") apply between Quantile Corp, having its registered office at 166 Geary Street, 15th Floor, San Francisco California 94108, United States (hereinafter "Quantile") and the company that has subscribed to the Services via Quantile's website (hereinafter the "Client").

1. Definitions

  • Account means each User's account created on the Quantile platform.
  • Client means the company or individual that has subscribed to the Services.
  • Client Data means the data provided by Clients to define their target audience.
  • Enriched Data means the leads data enriched and delivered to the Client.
  • Service means the lead generation and enrichment services provided by Quantile.
  • Providers means the third-party companies enabling data enrichment.
  • Website means the website operated by Quantile at quantileleads.com.
  • Order means a request for leads placed by the Client through the Website.
  • ICP means Ideal Customer Profile, the target audience criteria specified by the Client.

2. Acceptance of Terms

By accessing our Website or using our Services, you acknowledge that you have read, understood, and agree to be bound by these T&Cs. If you do not agree to these terms, you must not use our Services.

These T&Cs may be modified at any time. We will notify users of any material changes via email. Your continued use of the Service following such notification constitutes your acceptance of the modified terms.

3. Service Description

Quantile provides B2B lead generation services, delivering verified and enriched business leads matching the Client's specified criteria. The service includes:

  • Lead sourcing and verification from multiple premium data providers
  • Data enrichment through our network of trusted providers
  • AI-powered insights and personalization data
  • Delivery of leads in CSV format within 24 hours
  • Quality assurance and verification processes
  • Support for lead-related inquiries

4. Account Creation and Security

To use our Services, you must:

  • Provide accurate, current, and complete information
  • Maintain and update your information as needed
  • Keep your account credentials secure
  • Notify us immediately of any unauthorized access

You are responsible for all activities that occur under your account. We reserve the right to suspend or terminate accounts that violate these terms or are inactive for extended periods.

5. Ordering Process

When placing an order, you must:

  • Provide accurate ICP criteria
  • Select the desired number of leads
  • Complete payment through our secure payment system
  • Provide any additional information requested for order fulfillment

Orders are subject to acceptance by Quantile. We reserve the right to refuse any order at our discretion.

6. Payment and Billing

All payments must be made in advance through our secure payment processor. By making a payment, you represent that you are authorized to use the chosen payment method. Prices are subject to change, but changes will not affect orders already placed.

We use Stripe for payment processing. Your payment information is subject to Stripe's privacy policy and terms of service.

7. Delivery and Acceptance

Leads will be delivered within 24 hours of order confirmation via secure download in CSV format. The Client has 24 hours from delivery to report any significant quality issues. After this period, the leads are deemed accepted.

8. Refund Policy

Due to the custom nature of our services:

  • Refunds are only available for orders not yet delivered
  • No refunds will be provided after lead delivery except at Quantile's discretion
  • Quality issues must be reported within 24 hours of delivery
  • Partial refunds may be considered for demonstrable quality issues

9. Data Usage and Privacy

The Client acknowledges that:

  • They are responsible for ensuring compliance with applicable data protection regulations
  • They must have a legitimate business interest in contacting the leads
  • They must provide opt-out mechanisms in their communications
  • They must handle personal data in accordance with privacy laws

Quantile processes data in accordance with its Privacy Policy and Data Processing Agreement, which form an integral part of these T&Cs.

10. Service Limitations

The Client acknowledges that:

  • Quantile does not guarantee specific response rates or business outcomes
  • Lead quality depends on various factors including market conditions and ICP criteria
  • The effectiveness of outreach campaigns is the Client's responsibility
  • Some leads may become outdated due to natural business changes

11. Data Retention

Quantile retains data as follows:

  • Order data and delivered leads are kept for up to 30 days after delivery
  • Account information is retained while the account is active
  • Billing information is kept as required by law
  • Support communications are retained for quality assurance

12. Intellectual Property

All content on our Website and in our Services, including but not limited to text, graphics, logos, and software, is the property of Quantile or its licensors and is protected by copyright and other intellectual property laws.

13. Prohibited Uses

The Client agrees not to:

  • Resell or redistribute the leads provided by Quantile
  • Use the leads for any illegal or prohibited purpose
  • Violate any applicable data protection regulations
  • Share access to their Quantile account with unauthorized users
  • Attempt to reverse engineer or scrape our services
  • Use the leads for spam or harassment
  • Transfer or sell account access to third parties

14. Warranty Disclaimer

THE SERVICES ARE PROVIDED "AS IS" WITHOUT ANY WARRANTY OF ANY KIND. QUANTILE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUANTILE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

16. Indemnification

The Client agrees to indemnify and hold harmless Quantile and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from their use of the Services or violation of these T&Cs.

17. Force Majeure

Quantile shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, pandemic, or significant infrastructure failures.

18. Governing Law

These T&Cs shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes shall be subject to the exclusive jurisdiction of the courts of San Francisco, California.

19. Severability

If any provision of these T&Cs is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these T&Cs shall otherwise remain in full force and effect.

20. Service Level Agreement

While we strive to maintain high service quality:

  • We target 99.9% platform availability but do not guarantee uninterrupted service
  • We aim for 95%+ email deliverability for provided leads
  • Support responses are typically provided within 24 hours on business days
  • Scheduled maintenance will be announced at least 24 hours in advance

21. Export Compliance

The Services are subject to U.S. export control laws. You agree to comply with all applicable export and re-export restrictions, laws, and regulations. Our services are not available in countries subject to U.S. trade sanctions.

22. Assignment and Delegation

You may not assign or delegate any rights or obligations under these T&Cs without our prior written consent. Any attempted assignment or delegation without consent shall be void. We may freely assign or delegate our rights and obligations under these T&Cs.

23. Entire Agreement

These T&Cs, together with the Privacy Policy and Data Processing Agreement, constitute the entire agreement between you and Quantile regarding the Services, superseding any prior agreements or understandings.
